By accessing and using Our Community Spot ("the Platform"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

These terms apply to all users of the Platform, including HOA administrators, board members, property managers, and residents. Your HOA may have additional terms and policies that govern the use of the Platform within your community.

2. Description of Service

Our Community Spot provides a web-based platform for homeowners associations (HOAs) to manage their communities, including but not limited to:

• Communication tools (announcements, messaging, forums)
• Document storage and sharing
• Event management and calendars
• Financial management and payment processing
• Voting and survey capabilities
• Member directory and profiles
• Maintenance request tracking

3. User Accounts and Registration

To use the Platform, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You may not create an account using false information or impersonate another person or entity. We reserve the right to suspend or terminate accounts that violate these terms.

4. User Responsibilities and Conduct

You agree to:

• Use the Platform in compliance with all applicable laws and regulations
• Respect the rights and privacy of other users
• Not post or share illegal, harmful, threatening, abusive, or defamatory content
• Not upload files containing viruses, malware, or malicious code
• Not attempt to gain unauthorized access to the Platform or other users' accounts
• Not use the Platform for any commercial purposes without authorization
• Not scrape, harvest, or collect user data without permission

5. Content and Intellectual Property

Your Content: You retain ownership of content you post on the Platform. By posting content, you grant us a license to use, display, and distribute that content as necessary to provide the service.

Our Content: The Platform, including its design, features, text, graphics, and software, is owned by Our Community Spot and protected by copyright, trademark, and other intellectual property laws.

HOA Content: Content posted by your HOA administrators or other community members may be subject to your HOA's governing documents and policies.

6. Payment and Subscriptions

Some features of the Platform may require payment. By subscribing to paid services:

• You authorize us to charge your payment method for the applicable fees
• Subscriptions automatically renew unless cancelled before the renewal date
• Fees are non-refundable except as required by law
• We may change pricing with advance notice
• Your HOA may be responsible for payment, not individual residents

7. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy. We collect, use, and protect your personal information as described in that policy. By using the Platform, you consent to our data practices.

8. Termination

We reserve the right to suspend or terminate your access to the Platform at any time for:

• Violation of these Terms of Service
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Non-payment of applicable fees
• At the request of your HOA administrators

You may terminate your account at any time by contacting us or your HOA administrator. Upon termination, your right to use the Platform ceases immediately.

9. Disclaimers and Limitations of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

We are not responsible for:

• Content posted by users or HOA administrators
• Decisions made by your HOA based on information from the Platform
• Disputes between community members or with HOA management
• Third-party services integrated with the Platform
• Loss of data due to technical issues or user error

10. Indemnification

You agree to indemnify and hold harmless Our Community Spot, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms of Service
• Your violation of any rights of another party
• Content you post on the Platform

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the new terms.

12. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any disputes arising from these terms or your use of the Platform shall be resolved through binding arbitration, except where prohibited by law. You waive any right to participate in class action lawsuits or class-wide arbitration.
